The Service provides AI-assisted procurement tools that help users prepare Requests for Quotation (RFQs), communicate with suppliers by email, organise supplier responses, and compare quotations.
The Service is designed to assist procurement activities. It does not guarantee that suppliers will respond, provide quotations, or fulfil any orders.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into binding agreements to use the Service.
If you are using the Service on behalf of a business or organisation, you confirm that you have authority to accept these Terms on its behalf.
3. User Accounts
You are responsible for:
- Maintaining the security of your account.
- Keeping your password confidential.
- All activities that occur under your account.
You must notify us immediately if you believe your account has been compromised.
4. Acceptable Use
You agree not to use the Service to:
- Send spam or unsolicited commercial messages.
- Send fraudulent or misleading procurement requests.
- Harass or abuse suppliers.
- Procure illegal or prohibited goods or services.
- Infringe the intellectual property rights of others.
- Upload malicious software or harmful content.
- Attempt to interfere with or disrupt the Service.
We may suspend or terminate accounts that violate these Terms.
5. AI-Generated Content
The Service uses artificial intelligence to assist with:
- RFQ generation
- Quote extraction
- Supplier recommendations
- Email drafting
- Procurement summaries
AI-generated content may contain errors or omissions.
You are solely responsible for reviewing and approving all procurement requests, emails, and purchasing decisions before they are sent or acted upon.
The Service provides recommendations only and does not provide professional engineering, legal, financial or procurement advice.
6. Supplier Communications
The Service may send procurement enquiries to suppliers on your behalf.
By using the Service, you authorise us to send approved RFQs and related follow-up communications using the email services provided by the platform.
You are responsible for ensuring that:
- the information you provide is accurate;
- you have authority to request quotations;
- all communications comply with applicable laws.
7. User Content
You retain ownership of all content you upload, including:
- specifications;
- drawings;
- CAD files;
- BOMs;
- images;
- procurement documentation.
You grant us a limited licence to process, store and transmit this content solely for the purpose of providing the Service.
8. Intellectual Property
All software, branding, designs, documentation, workflows and content provided by the Service remain our intellectual property unless otherwise stated.
You may not copy, reverse engineer, redistribute or commercially exploit the Service except as permitted by law.
9. Availability
We aim to provide a reliable service but do not guarantee uninterrupted availability.
The Service may be unavailable due to:
- maintenance;
- software updates;
- third-party outages;
- internet failures;
- events beyond our reasonable control.
10. Third-Party Services
The Service integrates with third-party providers including email services, AI providers and cloud infrastructure.
We are not responsible for the availability, performance or actions of these third-party services.
Your use of those services may also be subject to their own terms and privacy policies.
11. Fees and Billing
Certain features may require a paid subscription.
Subscription fees, billing periods and payment terms are displayed before purchase.
Unless otherwise stated:
- subscriptions renew automatically;
- you may cancel future renewals at any time;
- fees already paid are non-refundable except where required by law.
12. Limitation of Liability
To the maximum extent permitted by law, we are not liable for:
- supplier actions or omissions;
- incorrect quotations;
- procurement decisions;
- lost business opportunities;
- indirect or consequential loss;
- loss of profits;
- loss of data.
Our total liability arising from your use of the Service is limited to the amount you have paid us during the previous twelve (12) months.
Nothing in these Terms excludes rights or remedies that cannot be excluded under applicable law, including the Australian Consumer Law where applicable.
13. Indemnity
You agree to indemnify and hold us harmless from claims, losses or expenses arising from:
- your misuse of the Service;
- your breach of these Terms;
- your procurement activities;
- your communications with suppliers.
14. Suspension and Termination
We may suspend or terminate your account if:
- you breach these Terms;
- your use creates security risks;
- your activities damage the integrity or reputation of the Service;
- we are required to do so by law.
You may stop using the Service at any time.
15. Privacy
Our collection and handling of personal information is governed by our Privacy Policy.
By using the Service, you acknowledge that information may be processed by trusted third-party service providers solely for the purpose of operating the platform.
16. Changes to the Service
We may modify, improve or discontinue features of the Service at any time.
We may also update these Terms from time to time. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
